1. Acceptance of Terms

By accessing or using BidManager.io ("BidManager," "the Service," "we," "our," or "us"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our service.

2. Description of Service

BidManager is a platform that allows businesses to manage multiple Copart and IAAI auction accounts in one centralized dashboard. The Service provides account monitoring, invoice tracking, vehicle management, credential security, and customer assignment features.

3. Account Registration and Security

3.1 Registration

To use BidManager, you must create an account by providing accurate and complete information.

3.2 Account Credentials

You are responsible for:

  • Maintaining the confidentiality of your BidManager account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

3.3 Auction Account Credentials

When you provide credentials for your auction accounts:

  • You authorize BidManager to access these accounts on your behalf
  • You confirm you have the legal right to provide these credentials
  • You understand BidManager will periodically access these accounts to retrieve data

4. Subscription and Billing

4.1 Subscription Plans

BidManager offers several subscription plans with different features and account limits:

  • Starter: Up to 3 accounts ($300/month)
  • Professional: Up to 10 accounts ($800/month)
  • Enterprise: Unlimited accounts (Contact Us)

4.2 Payment Terms

  • Subscription fees are charged in advance on a monthly or annual basis
  • All payments are non-refundable unless otherwise specified
  • We may change our fees by providing notice at least 30 days in advance

4.3 Free Trial

  • We may offer a free trial period for new accounts
  • Trial accounts automatically convert to paid subscriptions unless canceled before the trial ends

5. User Responsibilities

5.1 Compliance with Laws

You agree to use the Service in compliance with all applicable laws and regulations, including:

  • Vehicle auction regulations
  • Data privacy laws
  • Export control laws

5.2 Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Share your account credentials with unauthorized users
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with the proper functioning of the Service
  • Upload malicious code or attempt to compromise system security
  • Scrape, data-mine, or extract data from the Service except as expressly permitted

5.3 Customer Assignment

When assigning customers to auction accounts:

  • You remain responsible for all activities conducted through those accounts
  • You must ensure your customers comply with these Terms
  • You must have appropriate agreements with your customers regarding account usage

6. Intellectual Property

6.1 BidManager Ownership

BidManager owns all rights, title, and interest in the Service, including all intellectual property rights.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription period.

6.3 Feedback

If you provide feedback or suggestions about the Service, we may use this feedback without restriction or compensation.

7. Data and Privacy

7.1 Data Collection and Use

Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms.

7.2 Data Security

We implement reasonable security measures to protect your data but cannot guarantee absolute security.

7.3 Your Data

You retain all rights to the data you upload to the Service. You grant us a license to use this data solely to provide and improve the Service.

8. Third-Party Services

8.1 Auction Platforms

BidManager integrates with third-party auction platforms (Copart and IAAI). We are not responsible for:

  • The availability or accuracy of these platforms
  • Changes to their APIs or access methods
  • Their terms of service or privacy policies

8.2 Other Integrations

The Service may contain links to or integrate with other third-party services. We are not responsible for the content or practices of these services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet all your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDMANAGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid for the Service during the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BidManager and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your customer assignments and related activities

12. Term and Termination

12.1 Term

These Terms remain in effect while you use the Service.

12.2 Termination by You

You may terminate your account at any time by following the instructions on the Service or contacting support.

12.3 Termination by Us

We may suspend or terminate your access to the Service:

  • If you violate these Terms
  • If you fail to pay subscription fees
  • For any reason at our discretion, with or without notice

12.4 Effect of Termination

  • Your right to access the Service will cease
  • We will retain your data for 30 days, during which you may request an export
  • After 30 days, we may delete your data from our systems

13. Modifications to the Service and Terms

13.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

13.2 Terms Modifications

We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration in Dubai, United Arab Emirates, except for claims eligible for small claims court or intellectual property infringement.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.4 Entire Agreement

These Terms constitute the entire agreement between you and BidManager regarding the Service.

14.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

14.6 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
